Terms and Conditions of Service

These Terms and Conditions of Service (“Terms”) govern your (“You”, “you”, or “your”) access to and use of the website www.wardenclyffefirm.com, the services requested through it, and any associated platforms or applications (“Services”), provided by Wardenclyffe, Inc. and its subsidiaries (“Wardenclyffe”, “we”, “us”, or “our”). By accessing or using our Services, you agree to be bound by these Terms.


1. Acceptance

By using our Services, you acknowledge and agree to these Terms. Please review them carefully. Wardenclyffe provides a broad range of services; therefore, additional terms or conditions may apply (“App Terms”). When you use a specific Service, you also agree to any App Terms governing that Service. In the event of a conflict between these Terms and the App Terms, the App Terms shall prevail.

Wardenclyffe reserves the right, at its sole discretion, to refuse service, terminate access to the Services, remove or edit content, or cancel purchase orders at any time.


2. Privacy Policy

Please review our Privacy Policy, which forms part of these Terms and governs your use of our Services.


3. Communications

By using our Services, you consent to receive notices and communications from Wardenclyffe electronically, whether via email, text messages, notifications, or other digital means (“Electronic Communications”). You agree that such Electronic Communications satisfy any legal requirement that communications be in writing.


4. Copyright and Trademarks

All content made available through our Services—including trademarks, graphics, logos, page headers, button icons, layouts, text, and design elements—is the exclusive property of Wardenclyffe or its suppliers and is protected by United States and international copyright, trademark, and intellectual property laws (“Intellectual Property”).

You may not use, reproduce, distribute, or modify any Intellectual Property belonging to Wardenclyffe without our prior written consent.


5. License

Subject to your compliance with these Terms, any App Terms, and payment of applicable fees, Wardenclyffe grants you a non-exclusive, revocable, limited, non-sublicensable, non-transferable, royalty-free license (“License”) to access and use our Services.

You may not:

  • share or disclose your License to any third party;
  • grant others access to the Services through your account;
  • use data mining, robots, scraping, or any similar data-gathering tool;
  • copy, download, or extract information from the Services for the benefit of any third party unless expressly permitted.

Wardenclyffe may terminate this License immediately if you violate these Terms or any App Terms.


6. Payment Information

To receive certain Services, you may be required to provide a valid payment method. If we are unable to process your payment, you must provide an alternative valid payment method.


7. Cancellation and Refunds

If you cancel a purchase order after payment is processed but before submission of incorporation or filing information to the applicable Secretary of State, Wardenclyffe will refund the order total minus a $45.00 processing fee.

If cancellation occurs after submission of the incorporation or filing information to the Secretary of State, no refunds will be issued.


8. Indemnity and Moral Conduct

You represent that all information you provide to Wardenclyffe is true, accurate, and complete.

You agree to indemnify, defend, and hold harmless Wardenclyffe and its subsidiaries, directors, officers, employees, affiliates, successors, agents, and representatives from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:

  1. your use of the Services;
  2. your violation of these Terms;
  3. your violation of any third-party right (including copyrights, confidentiality, property, or privacy rights);
  4. actions taken under your account.

This indemnification obligation survives termination of these Terms.

You agree not to engage in any conduct that Wardenclyffe, in its sole discretion, deems illegal, immoral, deceptive, scandalous, obscene, or damaging to the reputation or goodwill of Wardenclyffe. Material violations may result in termination of your access to the Services.


9. Disclaimer of Warranties & Limitation of Liability

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WARDENCLYFFE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Wardenclyffe does not warrant that:

  • the Services will be uninterrupted or error-free;
  • data will be secure or free of viruses;
  • content or information provided is fully accurate, complete, or reliable.

To the maximum extent permitted by law, Wardenclyffe shall not be liable for any direct, indirect, incidental, punitive, consequential, or exemplary damages arising from your use of the Services, including but not limited to:

  • loss of profits, goodwill, data, or other intangible losses;
  • unauthorized access to transmissions or user data;
  • conduct of third parties;
  • your failure to safeguard your financial information;
  • integration or use of third-party tools;
  • termination of your access.

In all cases, Wardenclyffe’s total liability shall not exceed the greater of:

(a) $100 USD, or
(b) the total amount paid by you in the six (6) months preceding your claim.

Some jurisdictions do not allow certain limitations; in such cases, limitations apply only to the extent lawful.


10. Remedies

Wardenclyffe reserves the right to seek all legal and equitable remedies available for violations of these Terms.


11. Force Majeure

Wardenclyffe shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, pandemics, power failures, or other force majeure events.


12. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any disputes arising under or relating to the Services shall be brought exclusively in the state or federal courts located in Hidalgo County, Texas.
You consent to the jurisdiction and venue of such courts.


13. Severability

If any provision of these Terms is found unenforceable, all remaining provisions shall remain in full force and effect.


14. Assignment

Wardenclyffe may assign, transfer, or delegate its rights and obligations under these Terms at its sole discretion without notice.
You may not assign or transfer your rights or obligations without Wardenclyffe’s express written consent.

16. Miscellaneous
